The Secretary of State, in exercise of the powers conferred upon her by sections 363, 288A and 706 of the Companies Act 1985( 1 ), and of all other powers enabling her in that behalf, hereby makes the following Regulations:
1. —(1) These Regulations may be cited as the Limited Liability Partnerships (Forms) Regulations 2002 and shall come into force on 2nd April 2002.
(2) In these Regulations, references to a section or to a numbered section of the Companies Act 1985 are to a section of the Companies Act 1985, as applied to limited liability partnerships by regulations 3 and 4 of the Limited Liability Partnerships Regulations 2001( 2 ) and by regulation 3 of the Limited Liability Partnerships (No. 2) Regulations 2002( 3 ).
2. Forms 723SR and 723(change), which are set out in the Schedule attached to these Regulations, are with such variations as circumstances require, prescribed for the purposes of the notification to the registrar of a usual residential address and of a change in a usual residential address respectively as required by section 288A of the Companies Act 1985 in respect of a member of a limited liability partnership who is a beneficiary of a confidentiality order made under section 723B of the Companies Act 1985.
3. Form LLP 363, with such variations as circumstances require, is the form prescribed for the purpose of the annual return of a limited liability partnership required by section 363 of the Companies Act 1985.
4. Notwithstanding regulation 3, Form LLP 363 which was prescribed by the Limited Liability Partnerships (Forms) Regulations 2001( 4 ) shall remain in use as an alternative to the Form LLP 363 prescribed by regulation 3, save that that LLP 363 must be used where a member of a limited liability partnership is the beneficiary of a confidentiality order made under section 723B of the Companies Act 1985, as applied to limited liability partnerships.
