The Economic Crime and Corporate Transparency Act 2023 (Commencement No. 7) Regulations 2026

The Secretary of State makes these Regulations in exercise of the powers conferred by sections 104(1)(a) and 105(1) of the Deregulation Act 2015(1) and section 219(1) of the Economic Crime and Corporate Transparency Act 2023(2).

Citation

1. These Regulations may be cited as the Economic Crime and Corporate Transparency Act 2023 (Commencement No. 7) Regulations 2026.

Commencement on 26th January 2026

2. Section 49 of, and Schedule 1 to, the Economic Crime and Corporate Transparency Act 2023 (register of members: removal of option to use central register) come into force on 26th January 2026.

Amendment of provisions expressed by reference to commencement

3.—(1) In regulation 2 of the Register of People with Significant Control (Amendment) Regulations 2025 (commencement)(3) for “immediately after section 790LA of the Companies Act 2006 (duty to notify registrar of confirmed persons with significant control) comes fully into force” substitute “on 18th November 2025 (immediately after section 790LA of the Companies Act 2006 (duty to notify registrar of confirmed persons with significant control) came fully into force)”.

(2) The Companies Authorised to Register, Unregistered Companies and Overseas Companies (Application of Company Law) Regulations 2025(4) are amended as follows—

(a)in regulation 1 (citation, commencement and extent)

(i)in paragraph (3) for “when section 167M of the Companies Act 2006 (prohibition on director acting unless ID verified) comes into force” substitute “on 18th November 2025 (when section 167M of the Companies Act 2006 (prohibition on director acting unless ID verified) came into force)”,

(ii)in paragraph (4) for “immediately after section 790LA of the Companies Act 2006 (duty to notify registrar of confirmed persons with significant control) comes into force” substitute “on 18th November 2025 (immediately after section 790LA of the Companies Act 2006 (duty to notify registrar of confirmed persons with significant control) came into force)”;

(b)in paragraph (9) of regulation 5 (transitional provision for unregistered companies) in the definition of “relevant day”, for “the date that section 43 of the 2023 Act (prohibition on director acting unless ID verified) comes into force” substitute “18th November 2025 (the date that section 43 of the 2023 Act (prohibition on director acting unless ID verified) came into force)”;

(c)in regulation 6 (transitional provision for overseas companies)

(i)in paragraph (1) for “the date that regulation 4 comes into force” substitute “18th November 2025 (the date that regulation 4 came into force)”,

(ii)in paragraph (4) for the definition of “transition period” substitute—

transition period” means the period—

(a)

beginning on 18th November 2025 (the date that regulation 4 came into force), and

(b)

ending on the date that is the first anniversary of the date the UK establishment of that company was opened that falls after 18th November 2025..

(3) The Limited Liability Partnerships (Application and Modification of Company Law) Regulations 2025(5) are amended as follows—

(a)in regulation 1 (citation, commencement and extent)

(i)in paragraph (2) for “when section 167M of the Companies Act 2006 (prohibition on director acting unless ID verified) comes fully into force” substitute “on 18th November 2025 (the date that section 167M of the Companies Act 2006 (prohibition on director acting unless ID verified) came fully into force)”,

(ii)in paragraph (3) for “immediately after section 790LA of the 2006 Act (duty to notify registrar of confirmed persons with significant control) comes fully into force” substitute “on 18th November 2025 (immediately after section 790LA of the 2006 Act (duty to notify registrar of confirmed persons with significant control) came fully into force)”;

(b)in regulation 12 (interpretation) for “the date that section 43 of the Economic Crime and Corporate Transparency Act 2023 (prohibition on director acting unless ID verified) comes into force” substitute “18th November 2025 (the date that section 43 of the Economic Crime and Corporate Transparency Act 2023 (prohibition on director acting unless ID verified) came into force)”.

(4) In paragraph (2) of regulation 1 of the Economic Crime and Corporate Transparency Act 2023 (Consequential, Incidental and Miscellaneous Provisions) Regulations 2025 (citation, commencement and extent)(6) for “at the same time as section 43 of the Economic Crime and Corporate Transparency Act 2023 (prohibition on director acting unless ID verified) comes into force” substitute “on 18th November 2025 (at the same time as section 43 of the Economic Crime and Corporate Transparency Act 2023 (prohibition on director acting unless ID verified) came into force)”.

(5) Regulation 1 of the Companies and Limited Liability Partnerships (Annotations, Application and Modification of Company Law and Consequential Amendments) Regulations 2025 (citation, commencement, extent and interpretation)(7) is amended as follows—

(a)in paragraph (2) for “at the same time as section 167M of the 2006 Act (prohibition on director acting unless ID verified)” substitute “on 18th November 2025 (at the same time as section 167M of the 2006 Act (prohibition on director acting unless ID verified) came into force)”,

(b)in paragraph (3) for “at the same time as regulation 17AA of the 2009 Regulations (prohibition on member acting unless ID verified)” substitute “on 18th November 2025 (at the same time as regulation 17AA of the 2009 Regulations (prohibition on member acting unless ID verified) came into force)”.
