[2013] UKEAT 0312_12_1402 · 14 February 2013Defines

Approval of a CVA makes a company insolvent for Part XII purposes. A subsequent winding-up, without relief from that insolvency, does not create a further insolvency or a new reference date. (see paras [8]-[9]; [34]-[37])

The Secretary Of State For Business Innovation & Skills v Coward & Anor

[2011] UKEAT 0034_11_2107 · 21 July 2011Limits

Defines insolvency for a company by requiring satisfaction of section 183(3). The Employment Tribunal’s broader finding based on unpaid debts and cessation of trading was legally insufficient (see paras [6], [10]). Applies the company-specific insolvency definition by requiring proof of an event within section 183(3). No such event was proved, so notice pay was unavailable (see paras [6], [10]). Limits company insolvency to proof of one of the specified statutory events, such as winding up, receivership or an approved voluntary arrangement. Unpaid debts, cessation of trading and dissolution alone were insufficient (see paras [6], [7], [10], [12]).
